These Terms of Service (“Terms”) are a legally binding agreement between you (“Customer,” “you,” or “your”) and Torrico Sales Group LLC (“TSG,” “we,” “us,” or “our”). By clicking “I Agree,” creating an account, or otherwise accessing or using the TSG Client Portal and related services (the “Services”), you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not access or use the Services.
1. Eligibility and Account Registration
The TSG Client Portal is available exclusively to customers with an active TSG managed hosting subscription. The portal is an add-on product; it cannot be purchased independently of managed hosting. If your underlying managed hosting subscription terminates for any reason, your access to the portal will be terminated automatically. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services.
You are responsible for: (a) providing accurate and complete registration information, (b) maintaining the confidentiality of your account credentials, (c) all activities that occur under your account, and (d) notifying us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
2. Services Provided
The TSG Client Portal provides customer relationship management (CRM) tools including: contact and company management, project and subscription tracking, outreach email composition and sending via Gmail API, Google Calendar booking integration, billing and payment visibility, ticket management, and related administrative functions. The portal integrates with third-party services including Google Workspace (Gmail and Calendar APIs) and Stripe (payment processing).
We reserve the right to modify, update, or discontinue any part of the Services at any time. For material changes that reduce functionality, we will provide at least 30 days’ written notice.
3. Google Workspace Integration
When you connect your Google Workspace account to the portal, you authorize TSG to access your Google account with the specific permissions (scopes) you grant through Google’s OAuth consent screen:
- Gmail (send only — gmail.send): The portal sends outreach emails on your behalf using your Gmail address when you use the compose feature. We do not read, access, scan, store, or modify any content in your Gmail inbox. We do not request gmail.readonly or gmail.modify scopes.
- Google Calendar (calendar.events, calendar.readonly): The portal reads your calendar availability to display open booking slots on your public booking page and creates calendar events when appointments are booked through the booking widget. Google Calendar sends invites to both parties automatically.
You may disconnect your Google account at any time through the portal’s Settings page or by revoking access at myaccount.google.com/permissions. Disconnecting disables email sending and calendar booking features but does not delete historical records (outreach logs, booking history) stored in the portal.

4. Pricing, Payment, and Billing
4.1 Subscription fees
Fees for the Services, including base subscription fees, per-seat fees, and any one-time setup or onboarding fees, are as set forth in your subscription agreement or order form. All fees are payable in U.S. dollars.
4.2 Billing and payment
Subscription fees are billed monthly in advance. Payments are processed through Stripe. You authorize us to charge your payment method on file for all applicable fees. All fees are non-refundable. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for partial months.
4.3 Price changes
We may adjust pricing with at least 30 days’ written notice before the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.
4.4 Non-payment
If payment fails, we will notify you and provide a 7-day grace period to update your payment method. If payment is not received within the grace period, we may suspend access to the portal. Your data is retained during suspension for up to 90 days. If the account remains unpaid after 90 days, we may permanently delete your data after providing written notice.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Send spam, unsolicited commercial communications, or bulk emails through the portal’s email features in violation of CAN-SPAM Act requirements or similar anti-spam laws
- Attempt to access data belonging to other customers or circumvent data isolation controls
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the portal
- Use automated tools (bots, scrapers) to access the Services without our prior written consent
- Use the booking widget to create fraudulent, spam, or abusive bookings
- Share your account credentials with unauthorized individuals or allow others to use your account
- Transmit malicious code, viruses, or any content that could damage, disable, or impair the Services
- Use the Services in any manner that could interfere with, disrupt, or impose an undue burden on our infrastructure
6. Customer Data Ownership and Portability
You retain all ownership rights to the data you enter into the portal (contacts, companies, projects, notes, outreach logs, booking records, etc.). TSG does not claim any ownership interest in your business data.
Upon termination or at any time during your subscription, you may request an export of your data in CSV or JSON format. TSG will provide the data export within 30 days of your request at no additional charge.
7. Intellectual Property
The TSG Client Portal, including its design, code, user interface, features, documentation, and all related intellectual property, is and remains the exclusive property of Torrico Sales Group LLC. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the portal solely for your internal business operations during the term of your subscription. You may not copy, modify, distribute, sublicense, or create derivative works based on the portal.
8. Indemnification
You agree to indemnify, defend, and hold harmless TSG and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, including CAN-SPAM or other anti-spam laws, (d) any content or data you submit to the Services, or (e) your infringement of any third-party rights.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TSG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.
TSG’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO TSG IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TSG DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. TSG DOES NOT GUARANTEE ANY SPECIFIC LEVEL OF UPTIME OR AVAILABILITY. USE OF THE SERVICES IS AT YOUR OWN RISK.
11. Termination
11.1 Termination by you: You may cancel your subscription at any time by providing written notice to TSG. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
11.2 Termination by TSG: We may suspend or terminate your access immediately if you materially violate these Terms. For non-material breaches, we will provide written notice and a 15-day cure period before termination.
11.3 Effect of termination: Upon termination, your right to access the portal ceases. We will retain your data for 90 days following termination to allow for data export requests, after which it may be permanently deleted. Sections 6, 7, 8, 9, 10, 13, and 14 survive termination.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes with at least 30 days’ notice via email to the address associated with your account. Your continued use of the Services after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Services and may cancel your subscription.
13. Dispute Resolution
13.1 Governing law: These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.
13.2 Informal resolution: Before initiating any formal dispute proceeding, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
13.3 Jurisdiction: Any disputes that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida. You consent to the personal jurisdiction of such courts.
14. General Provisions
Entire agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and TSG regarding the Services and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. TSG may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure: TSG shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of war, pandemics, internet outages, or third-party service failures.
